Company Law (HK) : Calvin was, by way of a contract, appointed managing director of Alpha Ltd (AL) for 5 years. Two years into the contract, Alpha Ltd was taken over by Beta Ltd (BL) . Beta Ltd altered Alpha Ltds articles of association, empowering 2 BL directors and secretary to remove any director of AL by written instrument, irrespective of the terms of his contract. The new articles had been appropriately adopted and relevant procedures properly followed. BL exercised this power and removed Calvin prior to the expiration of 5 years. Advise Calvin.
